Terms of Service

Plain language summary: These Terms of Service are a legal agreement between you and QuickReply. They explain what the service does, how billing works, what your responsibilities are, and what happens if something goes wrong. We've tried to keep them fair and readable. 1. Agreement to Terms
These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your", "Client") and Perennial IT Pty Ltd (ABN 89 405 638 909) ("we", "us", "our", "QuickReply"), operating the QuickReply email auto-reply service at https://quickreply.akboredom.com.au.
By creating an account, subscribing to a plan, or using the service in any way, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you are agreeing on behalf of a business or other legal entity, you confirm that you have the authority to bind that entity to these Terms.
If you do not agree with these Terms, you must not use the service.
2. What QuickReply Does
QuickReply is a cloud-based software-as-a-service (SaaS) platform that provides automated email reply functionality for real estate agencies. Specifically, the service:
- Connects to your Microsoft 365 email inbox via the Microsoft Graph API
- Monitors incoming emails at regular intervals (approximately every 15 minutes)
- Matches incoming emails against projects you configure (based on sender domain and subject line keywords)
- Sends pre-written auto-reply emails with optional file attachments on your behalf
- Logs all matched and sent emails for your review in a web dashboard
- Flags unmatched emails from monitored domains for manual review
QuickReply does not use artificial intelligence. Email matching is based on simple rules (domain + keyword) that you configure yourself.
3. Eligibility
To use QuickReply, you must:
- Be at least 18 years of age
- Be a registered business operating in Australia (or an authorised representative of one)
- Have a valid Microsoft 365 business email account
- Have the authority to grant QuickReply access to the email inbox you connect
4. Your Account
We create your account during the onboarding process. You are responsible for:
- Keeping your login credentials secure and confidential
- All activity that occurs under your account
- Notifying us immediately if you suspect unauthorised access to your account
You may create additional user accounts for your staff within the limits of your subscription plan. You are responsible for ensuring your staff comply with these Terms.
5. Subscription Plans and Pricing
QuickReply is available on the following monthly subscription plans:

All prices are in Australian dollars and include GST. We reserve the right to change pricing with at least 30 days' written notice. Price changes will not apply to your current billing period — they take effect at the start of the next billing cycle after the notice period.
6. Free Trial
We may offer a 14-day free trial to new clients. During the trial period, you have full access to the Starter plan features. At the end of the trial:
- If you subscribe to a paid plan, your service continues uninterrupted
- If you do not subscribe, your account is suspended and auto-replies stop
The free trial is limited to one trial per business entity. We employ reasonable measures to detect duplicate trial signups, and we reserve the right to decline a trial if we believe it is being used improperly.
7. Payment and Billing
Payments are processed monthly through Stripe. By subscribing, you authorise us to charge your nominated payment method on a recurring monthly basis.
7.1 Failed payments
If a payment fails, we will attempt to notify you and give you time to resolve the issue:
- Day 3: We send a friendly reminder to update your payment method
- Day 7: We send a second reminder warning that service may be interrupted
- Day 12: We send a final warning
- Day 14: If payment has not been received, your account is suspended. Auto-replies stop, but your data is retained
You can reactivate your account at any time by updating your payment method and paying any outstanding balance.
7.2 Cancellation
You may cancel your subscription at any time through the Stripe billing portal (accessible from the Billing page in your dashboard). Upon cancellation:
- Your service continues until the end of your current paid billing period
- Auto-replies stop at the end of that period
- Your data is retained for 30 days after the end of your subscription, then deleted
8. Australian Consumer Law Guarantees
Important: Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms is intended to limit, exclude, or modify your rights under the Australian Consumer Law, including the consumer guarantees.
Under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010), you are entitled to the following consumer guarantees in relation to our service:
- The service will be provided with due care and skill
- The service will be reasonably fit for any purpose you made known to us before or at the time of purchase
- The service will be provided within a reasonable time
8.1 Remedies for service failures
If we fail to meet a consumer guarantee:
- For a major failure: You may cancel the service and receive a refund for any unused portion of your subscription. A major failure means the service has a problem that would have stopped you from buying it if you had known about it, or it is substantially unfit for its common purpose and cannot easily be fixed within a reasonable time.
- For a minor failure: We will use reasonable efforts to fix the problem within a reasonable time. If we cannot fix it, you may be entitled to a refund or credit.

9. Refund Policy
In addition to your rights under the Australian Consumer Law:
- If you cancel within the first 14 days of a new paid subscription (not a free trial) and are not satisfied, we will provide a full refund of your first month's payment
- Refunds for subsequent months are provided on a pro-rata basis if the cancellation is due to a service failure on our part
- Refunds are processed back to your original payment method within 5–10 business days
10. Your Obligations Under the Spam Act 2003
Important — this applies to you: Because QuickReply sends emails on your behalf, both you and QuickReply have obligations under the Spam Act 2003 (Cth). Penalties for breaching the Spam Act can be significant (up to $220,000 per contravention for individuals).
By using QuickReply, you agree to the following:
- Consent: You will only use QuickReply to reply to emails where the sender has initiated contact with you (i.e., they emailed you first). This provides implied consent for a reply. You must not use the service to send unsolicited marketing emails or "cold emails".
- Sender identification: Your auto-reply messages must clearly identify your business name and include accurate contact details. You must set a valid "Reply-From Name" in each project that identifies your business.
- Relevance: Your auto-reply content must be relevant to the original enquiry. Replies should relate to the property or service the sender enquired about.
- No misleading content: Your auto-replies must not contain false or misleading subject lines, headers, or content.
QuickReply includes a 24-hour cooldown per sender to prevent repeat replies to the same person, and self-send detection to prevent reply loops. These features help you remain compliant, but ultimately, you are responsible for ensuring your use of the service complies with the Spam Act.
11. Your Responsibilities
You agree that you will:
- Use the service in accordance with these Terms, the Acceptable Use Policy, and all applicable Australian laws
- Ensure the content of your auto-reply messages is accurate, lawful, and not misleading
- Only upload files (brochures, floorplans, etc.) that you have the right to distribute
- Keep your Microsoft 365 connection active and authorised for QuickReply to access
- Monitor your sent log and flagged emails regularly
- Not attempt to circumvent any usage limits imposed by your subscription plan
- Not use the service for any purpose other than responding to legitimate property enquiries (unless we agree otherwise in writing)
12. Our Responsibilities
We will:
- Provide the service with due care and skill, in accordance with these Terms and the Australian Consumer Law
- Use reasonable efforts to ensure the service is available and operational (we aim for 99% uptime, but do not guarantee it)
- Protect your data in accordance with our Privacy Policy and applicable privacy laws
- Notify you promptly if we become aware of any data breach affecting your information
- Provide reasonable notice before making changes to the service that may materially affect you
- Respond to support requests within a reasonable time
13. Intellectual Property
Our IP: The QuickReply platform, including its code, design, documentation, and branding, is owned by us. These Terms do not transfer any ownership rights to you. You are granted a limited, non-exclusive, non-transferable licence to use the service for the duration of your subscription.
Your IP: You retain all ownership of the content you create and upload to QuickReply (reply templates, brochures, project configurations, etc.). By uploading content, you grant us a limited licence to use it solely for the purpose of providing the service to you (for example, attaching your brochure to an auto-reply email).
14. Data Processing
When processing emails on your behalf, we act as a data processor (and you are the data controller) with respect to the personal information of your email leads. This means:
- We process lead email data only as instructed by you (through your project configurations)
- We do not use lead data for our own purposes
- We implement appropriate security measures to protect the data (as described in our Privacy Policy)
- Upon termination of your subscription, we delete lead data within 30 days
You are responsible for ensuring you have a lawful basis to collect and process the personal information of your email leads. If your business is covered by the Privacy Act 1988, you must maintain your own privacy policy and comply with the Australian Privacy Principles.
15. Service Availability and Interruptions
We strive to keep QuickReply running smoothly, but we cannot guarantee uninterrupted access. The service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice where possible)
- Unexpected technical issues or outages
- Third-party service disruptions (Microsoft 365, Stripe, hosting provider)
- Events beyond our reasonable control (force majeure)
If the service is unavailable for an extended period (more than 48 consecutive hours) due to a fault on our part, you may be entitled to a pro-rata credit for the affected period. Contact us to request a credit.
16. Limitation of Liability
To the maximum extent permitted by law (and subject to Section 8 — Australian Consumer Law Guarantees, which cannot be excluded):
- Our total liability to you for any claim arising from or relating to the service is limited to the amount you paid us in the 3 months immediately preceding the claim
- We are not liable for any indirect, incidental, consequential, or special damages, including loss of profits, loss of data, loss of business opportunities, or damage to reputation
- We are not liable for the content of auto-reply messages you configure, or for any consequences arising from emails sent or not sent by the system
- We are not liable for any loss arising from third-party service failures (Microsoft, Stripe, or hosting providers)
This limitation of liability applies to the fullest extent permitted by law. Nothing in this section is intended to exclude or limit our liability where doing so would be unlawful, including under the Australian Consumer Law.
17. Indemnity
You agree to indemnify and hold us harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms or the Acceptable Use Policy
- The content of your auto-reply messages or uploaded files
- Your breach of the Spam Act 2003 or any other applicable law
- Any dispute between you and a recipient of an auto-reply sent through the service
This indemnity is proportionate — it does not apply to the extent that a claim arises from our own negligence, breach, or wilful misconduct.
18. Suspension and Termination
18.1 Suspension by us
We may suspend your access to the service if:
- Your payment is more than 14 days overdue
- You breach these Terms or the Acceptable Use Policy
- We reasonably believe your use of the service is causing harm to us, other clients, or third parties
- We are required to do so by law
Where possible, we will notify you before suspending your account and give you a reasonable opportunity to resolve the issue (except in cases of urgent risk or legal requirement).
18.2 Termination by you
You may terminate your subscription at any time through the Stripe billing portal. The terms in Section 7.2 (Cancellation) apply.
18.3 Termination by us
We may terminate your account with 30 days' written notice if we decide to discontinue the service, or immediately if you have materially breached these Terms and failed to remedy the breach within 14 days of receiving notice.
18.4 Effect of termination
Upon termination, we will retain your data for 30 days (to allow for reactivation or data export), then permanently delete it unless we are required to retain it by law.
19. Dispute Resolution
If a dispute arises between you and QuickReply, we encourage you to contact us first at kap.heng@perennialit.com.au so we can try to resolve it informally.
If we cannot resolve the dispute informally within 30 days, either party may refer the matter to mediation administered by the Resolution Institute (or a similar independent mediation service) before commencing any legal proceedings. The costs of mediation will be shared equally.
Nothing in this clause prevents either party from seeking urgent interim relief from a court where necessary.
20. Governing Law
These Terms are governed by the laws of South Australia and the Commonwealth of Australia. Both parties submit to the non-exclusive jurisdiction of the courts of South Australia.
21. Changes to These Terms
We may update these Terms from time to time. When we make changes:
- We will update the "Last updated" date at the top of this page
- For material changes, we will notify you by email at least 30 days before the changes take effect
- Your continued use of the service after the changes take effect constitutes acceptance of the updated Terms
- If you do not agree with the changes, you may cancel your subscription before the changes take effect
22. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and QuickReply regarding the service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
- Waiver: Our failure to enforce a right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your account or these Terms without our written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, provided we notify you.
- Force majeure: Neither party is liable for failures caused by events beyond reasonable control, including natural disasters, internet outages, government actions, or pandemic-related disruptions.
- Notices: Notices to you will be sent to the email address associated with your account. Notices to us should be sent to kap.heng@perennialit.com.au.
